Gagnon, Denis Crevier, Fr\u00e9d\u00e9ric Lecoq, Fran\u00e7ois Vitez, Andr\u00e9 Halley, Jean-Claude Gonneau and Gregory Fourel, who will serve until the next annual meeting of shareholders or until their successors are elected or appointed;<\/li>\n<li>to appoint RICHTER LLP as the external auditor of the Company and to authorize the directors of the Company to set its compensation; and<\/li>\n<li>to confirm the new omnibus equity incentive plan of the Company without changes and included in the circular that has been sent to shareholders and published on SEDAR+. The board of directors determined that it is desirable to have a wide range of incentive awards, including stock options (\u201c<strong>Options<\/strong>\u201d), restricted share units (\u201c<strong>RSUs<\/strong>\u201d), performance share units (\u201c<strong>PSUs<\/strong>\u201d), and deferred share units (\u201c<strong>DSUs<\/strong>\u201d) (collectively, the \u201c<strong>Awards<\/strong>\u201d) to attract, retain and motivate employees, directors, executive officers and consultants of the Company.<\/li>\n<\/ul>\n<p><em>\u201c The year 2026 marks a pivotal year for our company. After several years of development, construction, and preparation, we have now entered a phase of execution, commercialization, and growth. We have achieved significant milestones and continue to lay the foundations for a company that aspires to become a major player in strategic industrial gases,\u201d said <\/em><strong>Dave Gagnon, Chairman &amp; Chief Executive Officer of CHARBONE<\/strong><em>. \u201cI would also like to recognize the exceptional work of our team. Behind every achievement are dedicated men and women from diverse nationalities who work tirelessly every day to transform our vision into reality, safely.\u201d<\/em><\/p>\n<p><strong>Granting of Equity Incentives <\/strong><\/p>\n<p>CHARBONE is also pleased to announce the grant of certain equity-based Awards under its omnibus incentive plan. The Board has granted annual equity-based incentives to its employees, consultants, directors and officers. The following incentives were granted:<\/p>\n<ul>\n<li>Options: a total of 700,000 Options were issued to employees and consultants at an exercise price of $0.15 and expiring after 2 years. The Options vest immediately.<\/li>\n<li>DSUs: a total of 2,960,000 DSUs were issued to members of the board of directors. DSUs vest one year after the grant date, subject to certain exceptions.<\/li>\n<li>RSUs: A total of 3,500,000 RSUs have been issued to the executive officers of the Corporation.
