IMPAQ IR contract

On July 16, 2026, CHARBONE announced its engagement of IMPAQ Capital Inc. (“IMPAQ”), an independent service provider, to deliver investor relations services. In connection with this engagement, the Company is providing the following update regarding the compensation granted to IMPAQ.

Stock options previously announced on June 22, 2026 (300,000 options at $0.15 per share, expiring June 22, 2028) were cancelled and regranted on July 13, 2026, under identical terms to aligned with the effective starting date of the agreement. IMPAQ has no interest, directly or indirectly, in CHARBONE or its securities, or any right or intent to acquire such an interest other than the options announced herein.

Global helium supply shortages have enabled CHARBONE to grow its business faster in underserved markets.

Varennes, Quebec, July 16, 2026 – CHARBONE CORPORATION (TSXV: CH; OTCQB: CHHYF; FSE: K47) (“CHARBONE” or the “Company”), a vertically integrated industrial gases company focused on production, distribution and storage of clean ultra-high purity (“UHP”) hydrogen and other strategic industrial gases, today announced the expansion of its dedicated helium delivery fleet from one unit to five, enabling accelerated service to North American customers amid tightening global supply.

Recent geopolitical disruptions to Qatar’s Ras Laffan complex, historically responsible for approximately one-third of global helium supply, and the Strait of Hormuz effectively closed to Western shipping, export constraints have driven price volatility across North American markets. Reported helium spot prices have increased significantly, creating urgent demand for reliable domestic supply sources for sectors like semiconductor manufacturing and healthcare, among others.

CHARBONE’s helium division, launched in 2025, leverages the company’s vertically integrated infrastructure and decentralized production model. By establishing supply capability ahead of recent market disruptions, CHARBONE secured long-term customer commitments through 2028 that insulate North American operations from volatile international shipping dependencies.

Operational Scale and Market Penetration

The Company’s growth is reflected in its rapidly expanding customer base and logistics capacity:

“We were prepared to scale helium production well before recent supply disruptions materialized. With trailers on order and agreements in place, we’ve grown our dedicated helium fleet from one unit to five and remain positioned to add five more within months to meet this surge in demand,” said Patrick Cuddihy, Senior Vice-President of CHARBONE.

Cette pénurie a également servi d’outil stratégique d’entrée sur le marché. The shortage has also acted as a strategic market entry tool. Because industrial gas buyers are typically permitted to seek secondary suppliers when their primary providers cannot deliver, CHARBONE has captured market share from established competitors facing supply constraints. Management expects these new helium relationships to eventually facilitate cross-selling of hydrogen and oxygen products.

While CHARBONE’s helium division continues to benefit from the setback on production facilities in Qatar require rebuilding from drone and missel attacks in March 2026 and shipping constraints persist, CHARBONE remains in continuous commercial production at its Sorel-Tracy flagship hydrogen plant. With Phase 1B scale-up currently underway, the Company is focused on delivering sustained sales growth across its decentralized North American network.

A detailed article exploring CHARBONE’s helium operations and market positioning is available on social media. Investors and stakeholders are encouraged to review the full piece for additional context.

New IR contract

CHARBONE is also pleased to announce that it has engaged IMPAQ Capital Inc. (“IMPAQ”), an independent service provider, to deliver investor relations services. Based in Montréal, Québec, IMPAQ specializes in tailored outreach programs that strengthen visibility and engagement with qualified North American investment professionals.

The agreement is for an initial term of ten (10) months, effective July 13, 2026, and will automatically renew for successive three (3)-month periods unless terminated by the Company. IMPAQ will receive a monthly cash fee of $8,500. In addition, the Company has agreed to allocate to IMPAQ 300,000 of the already announced grant of stock options on June 23, 2026, at an exercise price of $0.15. 25% of the options will vest quarterly and be exercisable over a two-year period, subject to CHARBONE’s Omnibus Equity Plan, and standard vesting provisions.

IMPAQ’s Canada-focused expertise with French and English speaking representatives combined with CHARBONE’s previously disclosed existing US-based investor relations firm, RB Milestone Group, the Company is well positioned to continue strengthening its footprint with North American investor communities.

Varennes, Quebec, June 10, 2026 – CHARBONE CORPORATION (TSXV: CH; OTCQB: CHHYF; FSE: K47) (“CHARBONE” or the “Company”), a vertically integrated industrial gases company focused on production, distribution and storage of clean ultra-high purity (“UHP”) hydrogen and other strategic industrial gases, is pleased to announce that it has entered into a long-term hydrogen supply contract with Hone Inc. (“Hone”), a provider of mobile hydrogen power solutions for a variety of applications, including the film and television production industry.

Deepening a Proven Commercial Relationship

This agreement follows CHARBONE’s January 22, 2026 announcement of its first hydrogen sales in Ontario to Hone. The long-term supply contract with Hone formalizes and extends that commercial relationship, reflecting the growing acceptance of CHARBONE’s clean hydrogen as a proven energy solution for on-set power generation in one of North America’s most active production markets.

Hone delivers mobile hydrogen power as a clean alternative to diesel generators for film and television productions. Hone’s trailer-mounted 165 kW hydrogen ICE generator systems replicate the standard production 1,400-amp diesel genset that eliminates emissions on-set. Each generator day can displace more than 1.5 tonnes of CO₂ compared to diesel operations. CHARBONE’s hydrogen serves as the fuel source for Hone’s proprietary Fuel Block™ delivery and drop-and-swap refueling system, which enables uninterrupted power throughout production.

Growing Acceptance in the Entertainment Sector

The commercial traction achieved through this partnership demonstrates the real-world viability of hydrogen as a clean, reliable power source in mobile and time-sensitive production environments. A major Hollywood Studio with multiple productions filming in Toronto has utilized Hone’s hydrogen generator service and CHARBONE’s clean hydrogen on several occasions, an important validation of both the technology and the supply chain supporting it.

Contract Terms

The long-term supply agreement is binding in nature and covers a term of two years, subject to the terms and conditions agreed upon by both parties.

Consistent with its established practice, CHARBONE is not disclosing the volume, pricing, or financial terms of this commercial arrangement in order to maintain its competitive position in the market. The Company has noted that demand for its clean UHP hydrogen continues to outpace the available supply, a market dynamic that underscores the strategic importance of expanding CHARBONE’s production network. Revenues generated by the Company’s production, distribution, and service activities are presented on a consolidated basis in its quarterly financial statements.

Management Commentary

“This long-term supply agreement with Hone is a direct extension of the commercial momentum we established earlier this year, and it reflects something meaningful: the entertainment industry is not just testing hydrogen, it is integrating it into active studio production workflows,” said Dave Gagnon, Chairman & Chief Executive Officer of CHARBONE. “Clean hydrogen is proving its value in some of the most demanding operational environments, where reliability, safety, and performance are nonnegotiable. We are proud to be the supply partner enabling that transition, and we look forward to supporting Hone and their clients across what we expect to be a growing number of Hollywood productions.”

“Partnering with CHARBONE on a long-term basis gives Hone the supply certainty we need to confidently serve our clients across multiple Hollywood productions, and a diverse range of other industries and clients” said Ry Smith , CEO of Hone. “Clean, reliable hydrogen is the foundation of our service offering, and CHARBONE’s clean UHP hydrogen meets the quality and logistics standards our customers depend on.”

The articles of amendment effecting the name change have been filed pursuant to the Business Corporations Act (Quebec) and are available on the Company’s SEDAR+ profile at www.sedarplus.ca. The name change has been approved by the TSX Venture Exchange (“TSXV”). The Company’s ticker symbols on the TSXV (CH), OTCQB (CHHYF), and Frankfurt Stock Exchange (K47) remain unchanged. No action is required by existing shareholders, and no certificates representing common shares need to be exchanged. Under the name change, effective on June 8, 2026, the CUSIP number assigned to the common shares will be 159916105 (ISIN: CA1599161058).

Change of Registered Address
In connection with its ongoing operational ramp-up, CHARBONE has also relocated its registered and principal business address to 1645 boulevard Lionel-Boulet, Suite 304, Varennes, Quebec, J3X 1P7. Varennes is strategically situated in close proximity to the Company’s flagship SorelTracy production plant and serves as a central location within CHARBONE’s growing industrial gases platform. The new premises offer greater space at a more competitive cost per square foot, providing the physical infrastructure to support the anticipated growth in human capital in line with the ramp-up of operations across the region and the Company’s broader network.

“The formalization of our name to Charbone Corporation is more than a rebranding, it is a statement of intent,” said Dave Gagnon, Chairman & Chief Executive Officer of CHARBONE. “We are no longer just a hydrogen company. We are building a vertically integrated, multimolecule industrial gases platform, and the name Charbone Corporation reflects that ambition. Combined with our relocation to Varennes, which places us closer to our flagship operations and better positions us for growth, we believe these changes reinforce our commitment to executing on our long-term strategic vision as a leading industrial gases platform in North America and beyond.”

New agreement anchors a scalable hydrogen supply chain in one of North America’s fastest-growing energy hubs

Brossard, Quebec, May 19, 2026 – CHARBONE CORPORATION (TSXV: CH; OTCQB: CHHYF; FSE: K47) (“CHARBONE” or the “Company”), a vertically integrated industrial gases company focused on production, distribution and storage of clean ultra-high purity (“UHP”) hydrogen and other strategic industrial gases, today announced a Conditional Offtake and Infrastructure Development Agreement (“Agreement”) with Vema Hydrogen (“Vema”) to develop a new hydrogen production and processing project in Québec. The site adds a valuable new resource for the region’s merchant industrial gas customers and strengthens the broader supply chain. The Agreement pairs Vema’s Engineered Mineral Hydrogen (“EMH”) production with CHARBONE’s purification, compression, and distribution capabilities to serve growing demand from CHARBONE’s industrial merchant hydrogen customer base up to 15 tons per day.

Leveraging Québec’s position as a regional hydrogen hub, the partnership sets the framework for a “well-to-market” supply chain in the region. The province’s concentrated industrial demand and proximity to key transportation networks minimize long-distance fuel transport and reduce overall system costs, making it a highly efficient geography for hydrogen production and distribution. The project’s design allows Vema to expand into emerging markets including low-carbon maritime and aviation fuel manufacturing, e-fuels, and power generation, where CHARBONE’s purification and distribution capabilities could integrate into multiple parts of the value chain.

“The market is demanding high-value industrial gases and our customers need cleaner, more reliable supply. By pairing Vema’s EMH feedstock with our purification and distribution capabilities, we’re strengthening Québec’s position as a regional hub for next-generation hydrogen,” said Dave Gagnon, President and CEO of CHARBONE.

On the heels of completing drilling and initiating pilot operations in Québec by Vema, the Agreement represents the latest milestone in Vema’s accelerating commercial progress. It broadens the Company’s offtake pipeline into industrial gas distribution, e-fuels, and clean mobility as Vema positions its technology for initial market deployment.

“Across high-value markets – from aviation and maritime fuels to industrial gases, there is incredible demand for Vema’s low-carbon Engineered Mineral Hydrogen. Now, more than ever, we need a pathway to deliver these low-carbon fuels,” said Pierre Levin, CEO of Vema. “As a valued offtaker and partner, CHARBONE’s established logistics networks provide the infrastructure and pathway to meet the immediate market demand for industrial customers across North America.”
